Experience

Assessed compatibility of commercial practices of IBERIA, the largest Spanish airline, with Latvian consumer protection rules.

Assisting the Latvian Ministry of Economics in creating a single state-owned holding providing business development aid. The entity manages assets worth EUR 500 Mio. through shares in financial institutions LGA, Hipotēku banka and LAF. We showed that the holding would receive in-house services from these institutions, so public procurement rules would not apply.

Assistance to Magnum Medical SIA, a leading Baltic pharmaceutical retail and wholesale company, in acquisition of assets from the Latvian sellers, MedPro Inc., related to manufacturing of food supplements and medicines.

Represented Latvia’s Telecommunications Association, alternative telecoms operators, in drafting national fixed termination rates rules.

Analysed competition aspects of Baltcom TV’s acquisition of SIA Interneta Pasaule, a cable company.

Fought for Baltcom TV’s 2,5 GHz spectrum usage rights before the national regulator and the European Commission.

Assisting Spridzēnu HES with a potential EUR 8 Mio investment into biogas farm in Latvia. We performed in-depth analyses of the investment risks and the target and prepared a term sheet for the transaction, including various types of securities available to the client. We also carried out negotiations with the bank financing the project and worked out the most appropriate tax structure for the investment.

Assistance to Working Day SIA, a leading recruitment agency in Latvia, in restructuring its business, dealing with the Data Protection Agency, IPR transfer and acquisition of a competitor.

Assistance to Baltic Hydroenergy AS, a Norwegian holding company, in selling its shareholding in two companies in Latvia and one in Lithuania that are engeged in hydro-electric power business and operate 9 hydro-power plants in the Baltic States.

Advising KPMG and Hipotēku banka on restructuring this state-owned general commercial bank into a development bank. We covered privatisation laws, banking regulations, competition and public procurement law aspects including advice on change of control provisions under the syndicated loan agreements.
